The main insurance solutions are as follows:
- Warranty and Indemnity (W&I) Insurance – structured to cover unknown risks underlying the set of representations and warranties provided by the seller.
- Title Insurance – can be used both to guarantee unknown issues related to eviction risks and in cases where potential risks arise during legal analysis, prior to the signing of the relevant policy.
- Tax Insurance – protects the insured from losses or damages arising from fiscal issues identified during due diligence; these issues may be addressed in the context of M&A but also in situations unrelated to extraordinary finance transactions.
- Litigation Buy-out Insurance – structured to protect against negative financial impacts caused by various events, such as ongoing legal disputes or contractual disagreements.
- Environmental M&A Insurance – used to cover specific environmental issues that were not identified during due diligence but were discovered after the successful conclusion of the transaction.
